Monster Vox Legals and Privacy Policy
1. MONSTERVOX RIGHTS. Any sound recordings, musical and/or vocal works, pictures, videos, song lyrics and/or other materials (collectively the "Material") submitted by you shall be available for us to distribute via the Internet in Streaming Media format for the listening pleasure of our audience and for voter review. We will not sell or license your music to others (making your music available to visitors of our site shall not be considered a sale or license)Any additional future promotion of the music, via Podcasting of the Top Songs, for example, will be 100% opt-in. 2. OWNERSHIP OF MATERIALS. At all times you shall retain full ownership of the Material while granting to MonsterVox the following non-exclusive rights: By accepting this agreement and/or submitting any Material, you are guaranteeing to MonsterVox that you are of legal age to enter into contracts (you're not a minor) and have all rights, approvals and/or consents necessary to submit the Material on the terms provided herein. You also guarantee that no permission is required from any other individual or company for us to use the Material and other rights provided herein. You further guarantee to MonsterVox that the compositions, recordings, lyrics and other materials contained in the Material are original, created only by you and do not contain any "samples" or excerpts from the material of others and do not otherwise infringe on the rights of any other individuals or companies. Although we're big believers in free expression, you also guarantee that the Material does not and will not violate any laws or be defamatory, libelous, pornographic or obscene. Finally, you guarantee to MonsterVox that the Material will not contain any "viruses" or other information which may damage or otherwise interfere with MonsterVox computer systems or data or that of our customers. You shall be fully responsible for any violation of your agreements including the guarantees made to MonsterVox under this paragraph and you shall indemnify us and our customers from any damages and costs, including reasonable attorneys' fees, arising from your breach. You shall sign and deliver to MonsterVox any additional documents that MonsterVox may request to confirm MonsterVox's rights under this agreement. 3. TERMS/FEES. This agreement shall remain in full force and effect while you use the Website, the Service, and/or are a Member. You may terminate your membership at any time, for any reason by following the instructions on the member Account page. MonsterVox.com may terminate your membership for any reason, effective upon sending notice to you at the email address you provide in your Membership application or such other email address as you may subsequently provide to MonsterVox.com. If MonsterVox.com terminates your Membership in the Service because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees. Even after membership is terminated, this Agreement will remain in effect. MonsterVox.com's Terms of Use and/or subscription fees that were provided to you at registration may change from time to time. By using the Service and by becoming a Member, you acknowledge that MonsterVox.com reserves the right to charge for the Service and has the right to terminate a Member's Membership should Member breach this Agreement or fail to pay for the Service, as required by this Agreement. 4. EARNINGS (Earnings are simulated during Beta Testing) All earnings are based upon popularity as calculated by our algorithms and programming. We cannot guarantee the accuracy of such calculations but we will endeavor to make such measurements as accurate as possible. We are not responsible for any inaccuracies due to gaming, cheating or outside interference that is beyond or capability to control. You agree to hold us harmless from any civil claims of any nature regarding the accuracy or honesty of our popularity measurements. All earnings shall be made available strictly via Paypal so you must have a Paypal account to qualify to receive earnings. You are responsible for all taxes on whatever you earn, including any prizes or gifts that you receive. 5. TERMS OF USE. You must agree to each and every term and condition of our Terms of Use Agreement and our Privacy Policy as a condition precedent to using any tool or service that we provide or signing up as a member. 6. DISPUTES. You represent that you own right, title and interest to all songs that you upload or transmit to MonsterVox. If a dispute and/or claim exists therefrom, MonsterVox reserves the right to remove such song from the MonsterVox website until such time as a bonafide resolution has been reached between the disputing parties. MonsterVox is not in a position nor has the authority to resolve any claims and/or disputes therefrom. We will not be your referee and must maintain a position of neutrality. We will swiftly remove any songs that were a copyright objection is sent to us by a party who has supplied sufficient identification to us. All parties in dispute MUST provide the other party with their name, address, and telephone number. 7. DISCLAIMER. You acknowledge that the operation of our site may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors and MonsterVox shall not be responsible to you or others for any such interruptions, errors or problems or an outright discontinuance of the MonsterVox service. There are no assurances whatsoever that any of the Material shall actually be utilized on the MonsterVox site or if so utilized continue to be available for any particular time. The MonsterVox site may be discontinued at any time, with or without reason. If for any reason any part of this agreement violates any law or would otherwise be void, this agreement shall be deemed amended to the minimum amount necessary to make it lawful and enforceable. 8. CANCELLATION. The Tournament is set up in such a way that songs will be paired with other songs, creating a specific number of votes for all the entries. If you would like to cancel your submission, you can contact Monster Vox and we will remove your song from the completion manually. We reserve the right to cancel the Tournament program or any other program, service or tool that we provide at anytime with no notice to you. 9. MISCELLANEOUS. In the event of any dispute concerning this agreement Missouri law shall apply and all legal proceedings, if any, shall take place in Missouri.
